Terms of Service | InterLinks - Shopify Internal Linking App

By signing up with Shopify as a Shopify User-merchant and creating an account with InterLinks or using any of its services (the 'Services'), you agree to be bound by this Merchant Agreement, including these General Terms and the following terms and conditions that apply to the legal relationship between InterLinks (referred to as 'InterLinks', 'we', 'us', or 'our') and Shopify Merchants ('you' or 'Merchant'):

Data Processing Agreement (between InterLinks and Shopify Merchants)

These terms are incorporated by reference into this Merchant Agreement and updated from time to time.

As used in the Merchant Agreement, 'we,' 'us,' 'our,' and 'InterLinks' refers to InterLinks, a Shopify app development entity, and 'you' or 'Merchant' refers to the Shopify User (if registering as an individual) or the business entity employing the Shopify User (if registering as a business) and any of its affiliates.

You must read, agree with, and accept all the terms and conditions contained or expressly referenced in this Merchant Agreement before using any InterLinks Services.

This Agreement takes effect (the 'Effective Date') when you create an account with InterLinks and/or CLICK ON THE 'INSTALL' BUTTON to use any of the InterLinks Services.

BY CLICKING ON THE 'INSTALL' BUTTON OR USING THE INTERLINKS SERVICES, YOU REPRESENT THAT (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THE TERMS OF THIS MERCHANT AGREEMENT, AND (2) YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON BEHALF OF THE ENTITY YOU REPRESENT AND THAT IS USING INTERLINKS SERVICES, AND TO BIND THAT ENTITY TO THIS AGREEMENT. IF YOU DO NOT ACCEPT OR UNDERSTAND THIS AGREEMENT, YOU MAY NOT REGISTER FOR OR USE INTERLINKS SERVICES.

By using InterLinks Services on Shopify, you agree, declare, and undertake that you fulfill and are bound by all Shopify terms and conditions, including Shopify's Acceptable Use Policy ('AUP') and Privacy Policy, and, if applicable, the Supplementary Terms of Service for E.U. Merchants ('EU Terms'), the Shopify API License and Terms of Use ('API Terms'), and the Shopify Data Processing Addendum ('DPA'). Terms with capital letters in this Merchant Agreement not defined herein will have the meaning defined in Shopify's applicable terms and conditions.

Without affecting any provisions of these General Terms, the Terms of Service, Privacy Policy, Cookie Policy, and/or the Data Processing Agreement between InterLinks and Shopify Merchants, the following provisions apply:

1. Eligibility Criteria

In order to use the Services, you must have created an account with Shopify and have an active online store. You must be at least 18 years of age and either legally represent a business or act within the scope of a legally organized economic activity.

2. InterLinks Services

The Services provided under this Merchant Agreement may include various tools and features offered by InterLinks on Shopify, including but not limited to:

Link Automation for product pages
Internal linking to improve navigation
Performance tracking for internal link efficiency
Integration with various Shopify store sections
Dynamic content linking for blogs, collections, and more
Advanced link categorization and reporting

3. Indemnification

You agree to indemnify, defend, and hold harmless InterLinks, its affiliates, subsidiaries, officers, directors, employees, agents, partners, and licensors (collectively, the 'Indemnified Parties') from and against any and all claims, demands, losses, damages, liabilities, costs, expenses, including reasonable attorneys' fees, arising out of or in any way connected to:

Your Use of the Services:

Any use of InterLinks Services that violates this Merchant Agreement or any applicable law, including the infringement of third-party rights, such as intellectual property rights, or violations of privacy or consumer protection laws.

Negligence or Misconduct:

Any act of negligence, misconduct, or failure to comply with applicable laws and regulations by you, your employees, agents, or affiliates, in relation to the use of InterLinks Services, including but not limited to improper installation, configuration, or operation of the InterLinks Services.

Data Breaches or Security Incidents:

Any data breach, unauthorized access, loss, or theft of data, including personal or sensitive data, that occurs within your store due to the improper use of InterLinks Services, or any failure by you to adequately secure your store or comply with data protection laws.

Claims Related to Content or User Data:

Any claim or legal action related to the content that you or your users submit to the InterLinks platform or store, including violations of intellectual property, defamation, or misuse of third-party content or proprietary rights.

Failure to Maintain Store Security:

Any security vulnerabilities that arise from the failure to maintain secure access controls for your Shopify store or InterLinks services, or any breach of your obligations to protect access to your store data and InterLinks Services.

Regulatory or Legal Violations:

Any violations of applicable laws, including data protection laws (such as GDPR, CCPA), advertising regulations, consumer protection laws, or any other regulatory rules that apply to your business or store's activities, which involve the use of InterLinks Services.

Claims from Your Customers or Third Parties:

Any claims, demands, or legal actions brought by your customers, third parties, or other Shopify merchants related to your use of InterLinks Services, including claims for loss, damage, or harm resulting from the functionality or features of the Services.

App Functionality, Downtime, or Interruptions:

Any interruptions, downtime, errors, or failures in the InterLinks Services, including any resulting loss of data, sales, or profits, caused by your failure to properly implement, configure, or monitor your InterLinks installation or use.

This indemnity will apply even in cases of InterLinks' negligence, and it is your responsibility to ensure the proper use and security of your store and data in conjunction with the InterLinks Services. You agree to pay all costs, damages, and legal fees associated with defending any indemnified claim, and this indemnity obligation will survive the termination or expiration of this Agreement.

4. Warranties and Limitation of Liability

InterLinks makes no warranties regarding the Application. You acknowledge that the responsibility for the Application's use lies with you.

Shopify is not liable for any issues arising from the installation or use of the Application, nor does it provide direct support for InterLinks.

You are solely responsible for the content of your store, the use of cookies, and the processing of personal data under applicable privacy laws.

5. Non-payment Remedies

In the event of non-payment for InterLinks services, InterLinks reserves the right to suspend or terminate your access to the Service without notice.

6. Charges for Using the Services

Billing details and charges related to your use of InterLinks Services will be detailed as per the Shopify and InterLinks billing documentation:

7. Final Provisions

Agency, Partnership, or Employment: This Agreement does not create any agency, partnership, joint venture, or employment relationship.

Notices: All notices under this Agreement will be in writing, usually by email or through the InterLinks Merchant Portal.

Survival: All terms that should logically survive the termination of this Agreement will remain in effect, including payment obligations, confidentiality, and limitations of liability.

Updates: InterLinks reserves the right to modify these General Terms, including the Terms of Service, Privacy Policy, and Data Processing Agreement. Using the Service after these updates become effective constitutes your acceptance of the updated terms.
